2.1Introduction
These Terms of Service govern access to and use of the TextileFlow website, buyer workspace, sourcing services, supplier matching services, documentation tools, quality control coordination, and related communications.
TextileFlow is a trading name of Sleekshift Ltd, registered in England and Wales under company number 16854971.
By using our website, submitting an enquiry, creating an account, sending an RFQ, uploading documents, engaging with our sourcing services, or otherwise interacting with TextileFlow, you agree to these Terms.
If you are using TextileFlow on behalf of a company or organisation, you confirm that you have authority to bind that organisation.

2.3About TextileFlow
TextileFlow is a B2B sourcing platform and sourcing coordination service for home textile buyers. We connect UK and European buyers with vetted Indian suppliers and provide sourcing workflow support, supplier matching, RFQ handling, sample tracking, production visibility, documentation support, and quality control coordination.
Unless expressly agreed otherwise in writing:
- TextileFlow acts as a sourcing facilitator, commercial agent, coordinator, and platform provider.
- TextileFlow is not the manufacturer, seller, importer of record, exporter of record, freight forwarder, customs broker, insurer, or legal representative of any buyer or supplier.
- Any purchase contract for goods is entered into directly between the buyer and the supplier.
- TextileFlow does not take title to goods.
- TextileFlow does not guarantee that a buyer will place an order.
- TextileFlow does not guarantee that a supplier will accept an order.
- TextileFlow does not guarantee that any sourcing transaction will complete.
2.4Business use only
TextileFlow is intended for business users only.
You may use TextileFlow only if:
- You are acting for a legitimate business or organisation.
- You are at least 18 years old.
- You have authority to represent the business on whose behalf you use TextileFlow.
- You provide accurate and complete information.
- Your use of TextileFlow complies with applicable laws and these Terms.
TextileFlow is not intended for consumer purchases or personal household purchases.
2.5Buyer fees
TextileFlow does not charge buyers a fee for submitting RFQs or using TextileFlow's buyer sourcing coordination process, unless a separate buyer fee is expressly agreed in writing.
Buyers pay suppliers directly for goods, samples, production, shipment, or other supplier-agreed charges.
2.6Supplier commercial terms
Supplier fees, commissions, service charges, or other commercial terms are not fixed in these website Terms.
Any supplier fee, commission, or commercial arrangement will be agreed separately with the supplier by email, e-signature, signed agreement, onboarding document, quote confirmation, or other written confirmation.
This avoids one-size-fits-all pricing where different orders, categories, values, and commercial structures may require different terms.
2.7Account registration and access
Some features may require an account.
You agree to:
- Provide accurate account information.
- Keep login details confidential.
- Restrict account access to authorised users only.
- Notify us promptly of any suspected unauthorised access.
- Be responsible for activity carried out under your account.
We may suspend, restrict, or terminate access where we believe an account has been misused, compromised, used unlawfully, or used in breach of these Terms.
2.8Buyer responsibilities
Buyers are responsible for:
- Providing accurate RFQ details, product specifications, quantities, timelines, technical requirements, packaging needs, compliance requirements, and delivery expectations.
- Reviewing all quotes, samples, specifications, test reports, certifications, and supplier documents before placing an order.
- Ensuring that products meet their legal, regulatory, safety, labelling, import, customs, and market requirements.
- Conducting any additional due diligence required by their organisation.
- Confirming whether goods are suitable for their intended market.
- Agreeing commercial terms directly with the supplier.
- Paying suppliers in accordance with agreed buyer-supplier terms.
- Appointing customs brokers, freight forwarders, insurers, or testing bodies where required.
- Maintaining appropriate internal approval processes.
TextileFlow may assist with documentation collection, QC coordination, and workflow visibility, but this does not remove the buyer's responsibility to review and approve commercial, legal, technical, and compliance matters.
2.9Supplier responsibilities
Suppliers are responsible for:
- Providing accurate company, factory, certification, audit, capacity, product, pricing, production, and compliance information.
- Supplying goods in accordance with the agreed specification, approved sample, buyer requirements, and applicable laws.
- Maintaining required licences, registrations, certifications, insurance, labour standards, and quality systems.
- Informing TextileFlow and the buyer promptly of production delays, capacity issues, material changes, quality issues, compliance concerns, subcontracting, or other material matters.
- Cooperating with sample development, production updates, quality control, documentation requests, and shipment readiness checks.
- Complying with any separate supplier terms or supplier agreement entered into with TextileFlow.
2.10RFQs, quotes, samples, and purchase orders
TextileFlow may help buyers prepare RFQs, identify suitable suppliers, coordinate quote responses, and track samples.
Unless expressly agreed otherwise:
- Quotes are provided by suppliers, not by TextileFlow.
- Prices, lead times, MOQs, materials, certifications, and production capacity are subject to supplier confirmation.
- Samples are for evaluation only and may not guarantee bulk production unless expressly agreed between buyer and supplier.
- Purchase orders are placed directly by the buyer with the supplier.
- Buyer-supplier contracts are separate from these Terms.
- TextileFlow is not responsible for buyer or supplier refusal, delay, default, or failure to contract.
2.11Quality control and inspections
TextileFlow may coordinate or support quality control activity, including sample tracking, mid-stage QC, final QC, approved sample matching, document collection, or third-party inspection coordination.
Unless expressly agreed in writing:
- QC support is based on reasonable visual, documentary, procedural, or sample-based checks.
- QC does not guarantee that all defects, non-conformities, or compliance issues will be found.
- Third-party inspection providers remain responsible for their own inspection reports and services.
- Buyers remain responsible for final acceptance of goods.
- Suppliers remain responsible for manufacturing quality and conformity with agreed requirements.
TextileFlow is not liable for hidden defects, latent defects, supplier misrepresentation, production substitution, unauthorised subcontracting, incorrect labelling, customs issues, regulatory non-compliance, or buyer misuse of goods, except where liability cannot legally be excluded.
2.12Compliance and documentation
TextileFlow may assist in collecting and organising supplier documents, certifications, audit records, composition details, test reports, QC records, and other sourcing documents.
However:
- TextileFlow does not guarantee the accuracy, authenticity, validity, completeness, or legal sufficiency of third-party documents unless expressly agreed in writing.
- Buyers must independently assess whether documents meet their own legal, commercial, technical, ESG, customs, and market requirements.
- Suppliers are responsible for the truthfulness and validity of the documents they provide.
- Expired, withdrawn, invalid, or misleading documents must not be submitted.
2.13No circumvention
Where TextileFlow introduces or matches a buyer and supplier, both parties must not use TextileFlow's introductions, information, RFQs, quotes, supplier details, buyer details, documents, pricing, or workflow to bypass TextileFlow or avoid separately agreed commercial terms.
Any non-circumvention obligations may be further detailed in a separate buyer agreement, supplier agreement, commission agreement, onboarding terms, email confirmation, or e-signed document.
2.14Acceptable use
You must not:
- Use TextileFlow for unlawful, fraudulent, misleading, abusive, or harmful purposes.
- Upload false, misleading, infringing, confidential, unlawful, or malicious content.
- Attempt to reverse engineer, copy, scrape, overload, disrupt, or compromise our website, platform, systems, or data.
- Misrepresent your identity, authority, company, products, certifications, or capabilities.
- Use information obtained through TextileFlow to harass, spam, bypass, exploit, or unlawfully contact buyers or suppliers.
- Upload malware, harmful code, or files designed to interfere with systems.
- Violate export controls, sanctions, anti-bribery laws, anti-money laundering rules, labour laws, modern slavery laws, or applicable trade laws.
We may suspend or terminate access if we believe these rules have been breached.
2.15Intellectual property
All TextileFlow branding, website content, platform design, software, workflows, databases, documents, templates, graphics, text, and other materials belong to TextileFlow or its licensors, unless stated otherwise.
You may use TextileFlow materials only for legitimate use of our services.
You must not copy, reproduce, resell, modify, distribute, create derivative works from, or exploit TextileFlow materials without our written permission.
2.16User content and uploaded documents
You retain ownership of documents, specifications, images, files, and content you upload or provide.
You grant TextileFlow a non-exclusive, worldwide, royalty-free licence to use, store, copy, process, transmit, share, and display that content as necessary to provide services, manage sourcing workflows, communicate with buyers or suppliers, maintain records, improve services, and comply with legal obligations.
You confirm that you have the right to provide the content and that our use of it will not infringe third-party rights or breach confidentiality obligations.
2.17Confidentiality
Users may receive confidential information through TextileFlow, including buyer requirements, supplier details, pricing, commercial terms, product specifications, designs, technical documents, QC records, production details, and business information.
You must:
- Keep confidential information secure.
- Use it only for the relevant sourcing purpose.
- Not disclose it except to authorised personnel or advisers who need to know it.
- Not use it to bypass TextileFlow, compete unfairly, or approach introduced parties outside the agreed process.
Confidentiality obligations do not apply to information that is public, already lawfully known, independently developed, or required to be disclosed by law.
2.18Anti-bribery, sanctions, and ethical trading
Users must comply with applicable anti-bribery, anti-corruption, sanctions, anti-money laundering, labour, human rights, modern slavery, and trade compliance laws.
No user may offer, request, accept, or facilitate bribes, kickbacks, hidden commissions, unlawful payments, or improper advantages in connection with TextileFlow services.
Suppliers must not use forced labour, child labour, bonded labour, illegal subcontracting, unsafe working conditions, document falsification, or other unethical practices.
2.19Disclaimers
TextileFlow uses reasonable skill and care in providing its services. However, we do not guarantee:
- That any supplier will meet buyer expectations.
- That any buyer will place an order.
- That quotes will remain available.
- That samples will match bulk production unless controlled by the buyer-supplier agreement.
- That all quality issues will be detected.
- That third-party documents are accurate, authentic, current, or legally sufficient.
- That delivery timelines will be met.
- That the website or workspace will be uninterrupted or error-free.
- That sourcing outcomes will be commercially successful.
All sourcing decisions remain the responsibility of the relevant buyer and supplier.
2.20Limitation of liability
Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the above, TextileFlow is not liable for:
- Loss of profit
- Loss of sales
- Loss of revenue
- Loss of business opportunity
- Loss of goodwill
- Loss of anticipated savings
- Loss of production
- Loss of data
- Indirect, consequential, special, or punitive loss
- Supplier default
- Buyer default
- Manufacturing defects
- Shipment delays
- Customs delays
- Regulatory non-compliance by a buyer or supplier
- Inaccurate third-party documents
- Third-party service provider failures
Unless a separate written agreement states otherwise, TextileFlow's total liability arising out of or in connection with these Terms or the services shall not exceed the total fees paid directly to TextileFlow by the user making the claim in the 3 months before the event giving rise to the claim.
Where the buyer has paid no fee directly to TextileFlow, TextileFlow's liability to that buyer shall be limited to £100, unless liability cannot legally be limited or excluded.
2.21Indemnity
You agree to indemnify TextileFlow against losses, claims, liabilities, damages, costs, and expenses arising from:
- Your breach of these Terms.
- Your misuse of the website, workspace, or services.
- False, misleading, incomplete, or infringing information you provide.
- Your breach of confidentiality.
- Your breach of applicable laws.
- Your products, documents, specifications, certifications, or commercial dealings.
- Any dispute between buyer and supplier, except to the extent caused directly by TextileFlow's proven breach of these Terms.
2.22Suspension and termination
We may suspend or terminate access to TextileFlow services where:
- You breach these Terms.
- You fail to pay amounts due under a separate written agreement.
- You misuse the platform.
- You provide false or misleading information.
- We suspect fraud, illegal activity, sanctions risk, bribery, forced labour, child labour, or unethical conduct.
- Continued service would create legal, commercial, security, or reputational risk.
Termination does not affect rights or obligations that have already accrued.
2.23Third-party services
TextileFlow may integrate with or refer to third-party tools, providers, websites, inspection bodies, logistics providers, payment providers, cloud platforms, or document systems.
We are not responsible for third-party services, terms, availability, accuracy, security, or performance.
2.24Changes to these Terms
We may update our website, workspace, services, features, processes, and these Terms from time to time.
The latest Terms will be published on our website. Continued use of TextileFlow after updates means you accept the updated Terms.
2.25Governing law and jurisdiction
These Terms and any dispute arising from or relating to them are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction, unless mandatory law requires otherwise.
